“Microsoft Shareholders Reject Bitcoin Reserve Proposal in Annual Meeting”

During Microsoft’s annual meeting on December 10, shareholders voted against a resolution put forth by the National Center for Public Policy Research (NCPPR) to add Bitcoin to the company’s balance sheets. The NCPPR, a pro-free-market think tank based in Washington, D.C., argued that diversifying the company’s profits through Bitcoin would provide value to shareholders.

The NCPPR presented a compelling case in a pre-recorded video played during the meeting. The video highlighted the potential benefits of holding BTC, emphasizing that Microsoft cannot afford to miss out on the next technology wave, which they believe is Bitcoin. While acknowledging Bitcoin’s volatility, the group recommended allocating 1% to 5% of Microsoft’s profits towards purchasing the cryptocurrency.

In response, Microsoft’s board, as outlined in a filing with the US Securities and Exchange Commission (SEC), advised against the proposal, deeming it unnecessary. The board expressed confidence in the company’s current processes for managing and diversifying its corporate treasury, asserting that a public assessment of Bitcoin adoption was unwarranted.

Michael Saylor, a prominent Bitcoin advocate, made a passionate plea to Microsoft to embrace Bitcoin fully, citing potential market cap growth of almost $5 trillion. Despite this pitch, the board remained steadfast in its decision to reject the proposal.

Ultimately, shareholders sided with the board’s recommendation and opposed integrating Bitcoin into Microsoft’s balance sheets. The NCPPR has also submitted a similar proposal to Amazon, which will be evaluated in the company’s 2025 shareholder meeting.
