MicroStrategy recently completed a $3 billion offering of 0% convertible senior notes due in December 2029, with the intention of using the proceeds to further invest in Bitcoin. This move follows the business intelligence firm’s share price falling over 25% on November 21st, as reported by Google Finance.
The notes were issued at a 55% premium with an implied strike price of approximately $672, allowing holders the option to buy or sell MicroStrategy’s class A common stock at a predetermined price.
Unlike traditional bonds, these senior convertible notes do not pay regular interest but can be converted into stock if not redeemed before the maturity date. Holders of these notes also have priority in the event of bankruptcy or liquidation.
MicroStrategy holds a significant amount of Bitcoin, with plans to acquire approximately 30,600 more BTC if the entire $3 billion proceeds are invested in the cryptocurrency. This offering comes after the company’s recent announcement to raise $1.75 billion at 0% interest, later increased to $2.6 billion, as part of its larger plan to raise $42 billion over the next three years for Bitcoin investment.
Despite the decline in MSTR share price, which reached a high of $536.7 before dropping to $397.28 on November 21st, the company remains a top performer in the US markets, with a 480% year-to-date increase. Citron Research noted concerns over the overheating of MSTR shares, attributing it to a detachment from Bitcoin fundamentals.
