The offering may also include an option for purchasers to acquire an additional $60 million in notes, set to mature on September 1, 2029, unless redeemed, converted, or repurchased beforehand. The settlement date has been scheduled for August 19.
Utilization of Proceeds
Core Scientific specified that the net proceeds would entirely settle the outstanding loans from its credit and guaranty agreement from January 23, 2024, and redeem the existing senior secured notes due in 2028. The firm also shared its intentions to use the remaining funds for various corporate uses such as working capital, operational expenditures, acquisitions, and security repurchases.

Core Scientific anticipates a total fundraising amount of $386.6 million, potentially reaching $445.0 million if the additional notes are acquired.
